Risicato Designs – Terms and Conditions
Introduction
Due to the custom nature of our business, the following Terms and Conditions have been developed to provide transparency regarding our policies and operations.
All orders placed with Risicato Designs LLC, including but not limited to phone orders, email orders, in-person orders, or online orders, are subject to these Terms and Conditions.
Any service or product provided by Risicato Designs, including artwork created by Risicato Designs and offered at no cost, is also subject to these Terms and Conditions.
By placing an order or using our services, the customer acknowledges and agrees to these Terms and Conditions.
Orders
Order Definition
An order includes any service or product purchased or requested through Risicato Designs LLC.
Order Acceptance
Orders may be accepted through the following methods:
- Phone
- In-person requests
- Online ordering systems
- Online team stores or fundraising stores
Accepted orders are subject to payment requirements, production policies, and approval procedures outlined in these Terms and Conditions.
Payment Terms
General Payment Policy
Unless otherwise agreed upon in writing, full payment for an order is required at the time of order approval.
Production will not begin until payment has been received and processed.
Failure to submit payment after order approval may result in production delays or suspension of the order until payment is received.
Risicato Designs reserves the right to delay production, shipment, or order release if payment has not been received in accordance with the agreed payment terms.
Returned Payments
Any payments submitted by check, ACH transfer, or credit card that are returned, declined, reversed, or otherwise rejected by the financial institution may result in the order being placed on immediate hold status.
Orders placed on hold due to returned or failed payments will not proceed in production or shipment until the payment issue has been resolved.
Customers may also be responsible for any bank fees, processing fees, or administrative charges incurred by Risicato Designs as a result of returned or declined payments.
Risicato Designs reserves the right to require alternative payment methods or verified funds following any returned or failed payment.
Credit Terms
Payment terms beyond standard prepayment may be granted at the sole discretion of Risicato Designs.
Approval for extended payment terms may require:
- Completion of a credit application
- A valid credit card maintained on file
- Review of prior payment history or creditworthiness
Risicato Designs reserves the right to modify, suspend, or revoke credit terms at any time if payment obligations are not met or if account status changes.
Credit Card on File Authorization
Customers granted payment terms may be required to maintain a valid credit card on file.
By providing a credit card to be held on file, the customer authorizes Risicato Designs to charge the card for any unpaid invoices once the order is ready for pickup or shipment, unless other payment arrangements have been made in advance.
This authorization remains in effect until the outstanding balance has been paid in full.
Due on Receipt
Invoices issued with Due on Receipt terms must be paid at the time the order is picked up or prior to shipment.
Failure to submit payment when due may result in delayed shipment or release of the order until payment has been received and processed.
Net 15 Terms
Invoices issued under Net 15 payment terms are due 15 calendar days from the invoice date.
Accounts exceeding the Net 15 payment window may be placed on hold.
Net 30 Terms
Invoices issued under Net 30 payment terms are due 30 calendar days from the invoice date.
Failure to make payment within this timeframe may result in suspension of credit privileges.
Late Payments and Interest
Invoices must be paid according to the payment terms listed on the invoice.
For invoices issued with Due on Receipt terms, payment is expected immediately upon notification that the order is ready for pickup or prior to shipment.
Invoices that remain unpaid 15 calendar days after the invoice date or notification that the order is ready for pickup or shipment may be considered past due.
For invoices issued under Net 15 terms, balances that remain unpaid 15 calendar days after the invoice date may be considered past due.
For invoices issued under Net 30 terms, balances that remain unpaid 30 calendar days after the invoice date may be considered past due.
Past due balances may accrue interest at a rate of 1.5% per month (18% annually) or the maximum rate permitted by applicable law.
Interest will continue to accrue until the balance has been paid in full.
Risicato Designs reserves the right to suspend production, shipment, or release of future orders for accounts with past-due balances.
Collections
Accounts that remain unpaid after reasonable collection attempts may be referred to a third-party collections agency.
Customers agree to be responsible for:
- Full unpaid invoice balance
- Accrued interest
- Collection agency fees
- Attorney fees and related legal expenses
Unpaid Orders and Financial Obligation
Failure to pick up an order or failure to pay for an order does not release the customer from the obligation to pay for goods produced according to the approved order.
Orders that remain unpaid may be held, accrue interest, or be sent to collections.
Pricing
All pricing provided by Risicato Designs is based on the information available at the time the quote is prepared, including garment costs, decoration methods, quantities, artwork requirements, and supplier availability.
Because many of the products and services we offer involve custom production and third-party suppliers, pricing may be subject to change until an order has been finalized and approved.
Website Pricing Errors
While every effort is made to ensure accurate pricing on our website, online stores, and ordering systems, pricing errors may occasionally occur due to technical issues, data entry mistakes, or supplier price changes.
Risicato Designs reserves the right to correct any pricing errors or inaccuracies, including those appearing on our website, online stores, invoices, or other communications.
If a pricing error is discovered after an order has been placed, Risicato Designs will notify the customer and provide the option to proceed with the corrected pricing or cancel the order.
Risicato Designs shall not be liable for pricing errors or typographical mistakes displayed on the website or online ordering platforms.
Verbal and Informal Quotes
Pricing discussed or provided via phone, email, text message, social media messaging, or in-person conversations is considered an estimate based on the information available at the time.
These estimates are provided for general reference only and are subject to change without notice until the order has been formally approved and entered into production.
Changes to order details may result in price adjustments. These details may include, but are not limited to:
- Quantity changes
- Garment style or brand changes
- Artwork revisions or additional graphic work
- Decoration method changes
- Supplier cost changes
- Shipping or freight adjustments
Final pricing will be confirmed during the order approval and proof approval process.
Quote Validity
Unless otherwise stated in writing, quotes provided by Risicato Designs are valid for 30 days from the date they are issued.
After 30 days, pricing may be subject to change due to factors including but not limited to:
- Supplier price increases
- Material availability
- Labor or production cost adjustments
- Market conditions
Quotes are not considered accepted until the order has been formally approved and entered into production.
Risicato Designs reserves the right to update or revise quotes if order details change after the quote has been issued.
Order Changes Affecting Price
If changes are requested after a quote has been issued or after an order has been approved, pricing adjustments may be required. Examples include:
- Changes in garment brand or style
- Changes in decoration method
- Artwork revisions requiring additional graphic preparation
- Quantity increases or decreases
- Requests for rush production
Any pricing adjustments will be communicated to the customer for approval before production proceeds.
Minimum Orders and Setup Charges
Certain decoration methods require minimum order quantities.
Production setup may include:
- Screen preparation
- Embroidery digitizing
- Artwork cleanup or vector conversion
- Specialty production setup
Orders submitted through online systems may be reviewed for artwork quality.
Low-resolution or unusable artwork may require additional graphic preparation and may incur additional fees.
Customers will be notified before such work proceeds.
Online Orders and Artwork Review
Orders submitted through Risicato Designs’ online ordering systems, online stores, or design tools are subject to review prior to production.
During this review process, Risicato Designs will evaluate the order details, artwork quality, and production requirements to determine whether the submitted files are suitable for decoration.
In some cases, artwork submitted by customers may be low resolution, improperly formatted, or otherwise unsuitable for quality production. Examples may include:
- Low-resolution images
- Raster images that require vector conversion
- Blurry or pixelated artwork
- Artwork that requires recreation or cleanup for printing or embroidery
- Designs that require modification to meet production standards
If additional artwork preparation, cleanup, or recreation is required in order to achieve acceptable production quality, additional setup or graphic design charges may apply.
If such work is required, the customer will be notified prior to production and given the option to:
- Approve and pay the additional preparation or setup charges, or
- Cancel the order and receive a refund for any payment made on the order
Production will not begin until the customer has approved the revised artwork and any applicable charges.
Artwork and Intellectual Property
Customers submitting artwork represent that they have legal rights and permission to reproduce the submitted designs.
Customers assume full responsibility for ensuring submitted artwork does not infringe upon copyrights, trademarks, or other intellectual property rights.
Customers agree to indemnify and hold harmless Risicato Designs LLC from claims related to copyright infringement, trademark infringement, plagiarism, or unauthorized use of intellectual property.
Risicato Designs reserves the right to refuse production of artwork believed to violate intellectual property laws.
Artwork Created by Risicato Designs
All artwork, graphics, designs, layouts, and creative content created by Risicato Designs LLC remain the property of Risicato Designs unless ownership rights are explicitly transferred in writing.
This includes, but is not limited to:
- Custom graphic designs
- Logo recreations or redraws
- Layouts and design compositions
- Artwork modifications or enhancements
- Adjustments made to customer-provided logos or designs
Even in cases where a customer provides an existing logo or design, any modifications, redraws, vector recreations, or design enhancements created by Risicato Designs remain the intellectual property of Risicato Designs, unless otherwise agreed upon in writing.
Artwork created by Risicato Designs may not be reproduced, distributed, altered, or used by any third party without prior written permission from Risicato Designs.
Unauthorized reproduction or use of artwork created by Risicato Designs may result in legal action to protect and enforce our intellectual property rights.
Art Proofs and Artwork Approval
Proof Approval
All custom orders require customer approval of artwork proofs prior to production.
Proofs are provided so the customer may verify all aspects of the design before production begins, including but not limited to:
- Spelling and typography
- Design layout
- Artwork placement
- Ink or thread color selections
- Garment or product information
It is the customer’s responsibility to carefully review the proof and confirm that all details are correct.
Once a proof has been approved, the order will proceed into production and Risicato Designs is not responsible for errors that appear in the approved proof, including spelling errors, incorrect wording, layout issues, or incorrect garment selections.
If a production error occurs that deviates from the approved proof due to an error made by Risicato Designs, we will work with the customer to correct the issue at our discretion.
Typography and Design Responsibility
Customers are responsible for reviewing all text included in artwork proofs. This includes:
- Names
- Numbers
- Dates
- Team names
- Business names
- Slogans or taglines
Risicato Designs is not responsible for typographical or grammatical errors that appear in an approved proof.
Digital Mockups and Artwork Representation
Artwork proofs and digital mockups are intended to represent the general layout and appearance of the final product.
Mockups are not exact physical representations of the finished product.
Design placement, scale, and proportions shown in digital proofs may vary slightly from the final printed or embroidered item due to production equipment, garment size variations, or decoration method.
Digital mockups should not be interpreted as exact measurements or precise placement guides.
Artwork Scale and Placement
Artwork shown in proofs is not always displayed at exact scale relative to the garment or product.
Actual printed or embroidered design size may vary slightly depending on:
- Garment size or style
- Decoration method
- Production equipment
- Industry standard decoration sizes
Risicato Designs reserves the right to make minor adjustments to artwork size or placement in order to ensure the best possible production quality.
Print Placement Tolerances
Due to the nature of apparel decoration processes such as screen printing, heat transfers, DTF printing, and embroidery, minor variations in print placement, spacing, and alignment may occur.
These variations are considered normal production tolerances and do not qualify as defects.
Color Variations
The customer understands that due to differences between digital displays and physical materials, slight color variations may occur during the printing or embroidery process.
Colors viewed on phones, tablets, or computer monitors may appear differently than the final printed product due to differences in:
- Screen calibration
- Display brightness
- Device technology
Additionally, the final appearance of printed colors may vary depending on:
- The decoration method used (screen printing, DTF, sublimation, embroidery, etc.)
- The base color and material of the garment
- Ink absorption characteristics of the fabric
- Environmental conditions during production
Because of these factors, colors may print slightly lighter, darker, warmer, or cooler than expected.
For color-critical projects, customers may request a physical sample or test print prior to full production.
Minor color variations between digital proofs and finished products are not considered production defects.
Production Adjustments for Quality
In some cases, artwork may require minor adjustments to ensure proper production results. These adjustments may include:
- Line thickness adjustments
- Color substitutions for embroidery thread availability
- Artwork simplification for embroidery digitizing
- Slight repositioning to accommodate garment seams or printing limitations
Such adjustments are made using industry best practices to ensure quality output and do not constitute grounds for refund or reproduction unless previously agreed upon.
Order Fulfillment
Standard Production Time
Standard production time is 10–15 business days after final proof approval and payment.
Business days are defined as Monday through Friday excluding federal holidays.
Extended Production Processes
Certain decoration processes such as full garment sublimation, cut-and-sew sublimation, and juice sublimation may require additional production time.
Production Delays
Production delays may occur due to supply chain issues, equipment maintenance, shipping delays, or seasonal demand.
Production delays do not qualify for refunds or cancellations unless a specific delivery deadline was agreed to in writing.
Product Availability
Garment availability is subject to supplier inventory.
If items are unavailable, customers will be notified and offered alternatives.
Production Tolerances and Print Placement
Minor variations in print placement, alignment, and sizing may occur during production.
These variations are considered normal production tolerances and do not qualify as defects.
Customer-Supplied Garments
Customers supplying their own garments do so at their own risk.
Risicato Designs is not responsible for replacement cost of customer-supplied garments damaged during decoration.
Maximum liability is limited to the amount paid for the decoration service on the affected item.
Returns, Claims, and Product Responsibility
Due to the custom nature of decorated apparel, returns are generally not accepted on custom products.
Products are sold as-is with no warranty express or implied.
Laundering and Wear
Risicato Designs does not cover issues related to laundering or normal wear including:
- Shrinking
- Fading
- Garment distortion or misshaping
- Prints that crack, fade, or peel after washing
- Embroidery thread that becomes frayed, loosened, or damaged
Since laundering conditions are outside our control, these issues do not qualify as production defects.
Shipping, Delivery, and Package Responsibility
Orders may ship via USPS, UPS, or FedEx depending on service availability.
Shipping Method
Unless otherwise requested, orders will ship using standard ground service or USPS Priority Mail.
Shipping transit times are estimates provided by the carrier and are not guaranteed by Risicato Designs.
Shipping Insurance
Unless specifically requested otherwise, shipments may include standard carrier-provided insurance at the discretion of the shipping carrier and according to the carrier’s terms and conditions.
Additional insurance coverage may be added at the customer’s request and expense.
Carrier insurance does not cover packages lost or stolen after confirmed delivery.
Shipping Damage
If a package arrives visibly damaged, the customer must notify Risicato Designs within 5 days of delivery so a carrier claim may be initiated.
Package Theft
Risicato Designs is not responsible for packages lost or stolen after confirmed delivery.
Customers may request signature confirmation or additional insurance coverage prior to shipment.
Limitation of Liability
To the fullest extent permitted by law, Risicato Designs LLC shall not be liable for indirect, incidental, consequential, or special damages including:
- Loss of profits
- Business interruption
- Loss of business opportunities
- Loss of use of products
Risicato Designs’ total liability for any claim shall be limited to the amount paid for the specific order giving rise to the claim.
In situations where a production error is determined to have occurred, Risicato Designs reserves the right to:
- Repair the affected items
- Replace the affected items
- Issue a credit or refund for the affected portion of the order
These remedies shall constitute the customer’s sole and exclusive remedy.
Dispute Resolution
In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation.
If the dispute cannot be resolved informally, the parties agree to attempt resolution through non-binding mediation in DuPage County, Illinois before pursuing legal action.
Attorney Fees
If legal action is required to enforce or interpret any provision of these Terms and Conditions, the prevailing party shall be entitled to recover reasonable attorney fees, court costs, and related expenses to the extent permitted by law.
Payment Disputes and Chargebacks
Customers agree to contact Risicato Designs before initiating a chargeback or payment dispute.
If a chargeback is initiated, Risicato Designs may provide documentation including:
- Approved artwork proofs
- Order confirmations
- Production records
- Shipping confirmations
Customers may be responsible for administrative costs, chargeback penalties, and collection fees associated with improper disputes.
Risicato Designs reserves the right to refuse future service to customers who initiate fraudulent or abusive chargebacks.
Law and Jurisdiction
These Terms and Conditions are governed by the laws of the United States and the State of Illinois.
Any disputes arising from these Terms or services provided by Risicato Designs shall fall under the jurisdiction of the courts located in DuPage County, Illinois.
